14. Dispute Resolution: All disputes shall be subject to territorial jurisdiction of Mumbai, Maharashtra (IN) only. The parties to the present agreement in consensus have agreed to refer any dispute of any nature arising out of the present agreement to the appropriate forum seeking damages in case of breach or specific performance if any of the parties fail to execute the present agreement or for any material breach of any clause of the present agreement.

Note: If the aforementioned dispute is specific in nature pertaining to a particular clause that does not render the whole agreement inexecutable, then the parties are free to execute the functional parts of the agreement.
